1. About us
Web Studio Sheffield is a web design and digital agency based in Sheffield, South Yorkshire, UK. References to "we", "us" or "our" in these terms refer to Web Studio Sheffield. References to "you" or "your" refer to the client or website visitor.
2. Scope
These terms apply to the use of our website at webstudiosheffield.co.uk and to all services provided by Web Studio Sheffield. By using our website or engaging our services, you agree to these terms.
3. Services
We provide web design, web development, local SEO, website maintenance, web application development and related digital services. The specific scope, deliverables, timeline and price for each project are agreed in writing before work begins.
4. Quotes and pricing
All quotes are fixed price unless otherwise stated in writing. A quote is valid for 30 days from the date of issue. Quoted prices do not include third-party costs such as domain registration, hosting, premium plugins, stock imagery or API subscriptions unless explicitly stated.
5. Payment terms
Our standard payment terms are:
- 50% deposit required before work begins
- Remaining 50% due on project completion, before the live website is handed over
For ongoing services (SEO, maintenance), payment is due monthly in advance. We reserve the right to pause or suspend services if payment is overdue by more than 14 days.
6. Client responsibilities
You agree to:
- Provide accurate briefs, content, images and feedback in a timely manner
- Ensure all content and materials you provide do not infringe third-party rights
- Nominate a single point of contact for project communication
- Review and approve work within agreed timeframes
Delays caused by late content or feedback may affect project timelines. We are not liable for delays resulting from client-side issues.
7. Revisions and changes
Each project includes a reasonable number of revision rounds as agreed in the project proposal. Significant changes to the agreed scope after work has begun may be subject to additional charges, which will be communicated and agreed in writing before proceeding.
8. Intellectual property
Upon receipt of full payment, you own the final delivered website and its content. We retain the right to use the completed project in our portfolio and for promotional purposes unless you request otherwise in writing. We retain ownership of any tools, frameworks, templates or code libraries we use that are not specific to your project.
9. Third-party services
Some projects involve third-party platforms (WordPress, Shopify, Webflow, hosting providers etc.). You are responsible for maintaining accounts, subscriptions and licences for third-party services used in your project. We are not responsible for third-party service outages, price changes or policy changes.
10. Warranties and liability
We warrant that our work will be performed with reasonable skill and care. We do not guarantee specific search engine rankings or business outcomes. Our total liability to you in connection with any project shall not exceed the total fees paid for that project. We are not liable for indirect or consequential losses.
11. Confidentiality
Both parties agree to keep confidential any sensitive business information shared during the course of a project and not to disclose it to third parties without prior written consent.
12. Termination
Either party may terminate a project with 14 days written notice. In the event of termination, you are liable for payment for all work completed up to the termination date. The deposit is non-refundable.
13. Governing law
These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
14. Changes to these terms
We may update these terms from time to time. Continued use of our website or services after changes constitutes acceptance of the updated terms.
